Terms of Service

Project ownership, licensing, support, and transfer terms are defined in the written agreement for each project. Clients receive a monthly subscription to use their delivered custom system. Base module IP remains with Veruthia Consulting, LLC.

Services

Veruthia Consulting, LLC provides software-as-a-service (SaaS) including automated intake systems, lead dashboards, websites, and custom business tools. All services are provided on a monthly subscription basis. Base module intellectual property remains with Veruthia Consulting, LLC.

Subscription & Payment

Services are billed monthly. Subscriptions automatically renew each month unless cancelled. Cancellation takes effect at the end of the current billing cycle. No refunds for partial months. Client is responsible for third-party service costs including Twilio, Telnyx, and other integrations.

Intellectual Property

Client receives a non-exclusive, non-transferable subscription to use the delivered system during the active subscription period. Source code for base modules remains the intellectual property of Veruthia Consulting, LLC. Client-specific customizations remain licensed to the client during active subscription. Client may not resell, redistribute, or create derivative works for commercial distribution.

Data Ownership

Client owns all data they input into the system. Upon cancellation, client may export their data within 30 days. After 30 days, data may be deleted from active systems. Veruthia will not retain client data beyond what is required for legal compliance.

Limitation of Liability

Veruthia Consulting, LLC is not liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the total amount paid by the client in the 12 months preceding the claim.

No Guaranteed Results

Veruthia Consulting, LLC builds systems intended to improve business operations. Specific leads, revenue, rankings, or business outcomes are not guaranteed. Results vary based on implementation, market conditions, and client effort.

Third-Party Services

Our services integrate with third-party providers including Twilio, Telnyx, and Resend. Client is responsible for creating their own accounts with these providers and paying usage fees directly. Veruthia is not responsible for third-party service outages, pricing changes, or data handling.

Confidentiality

Both parties agree to keep confidential information exchanged during the project private. This includes business processes, technical details, and any proprietary information shared during development.

Governing Law

These terms are governed by the laws of the State of Oklahoma, United States. Any disputes shall be resolved in the courts of Oklahoma.
